Profit Share Agreement and Disclosure for Share Users

Welcome to SHARE, a platform designed to empower filmmakers, producers, and creators to manage and collaborate on projects. By creating or managing projects on SHARE, you agree to the following Terms and Conditions, which outline your responsibilities and our policies. Please read them carefully.

1. Acceptance of Terms
By creating or managing a project on the SHARE platform, you agree to be bound by these Terms and Conditions, as well as any updates or amendments we may implement. If you do not agree, please refrain from using the platform.

2. Creator Responsibilities
As a project creator on SHARE, you are responsible for:
- Setting clear expectations and roles for all collaborators, including but not limited to actors, crew members, and contractors.
- Ensuring all participants are compensated in accordance with the agreed-upon contracts and SHARE's equity profit-sharing model (if applicable).
- Maintaining an inclusive and professional environment on set and in all project-related communications.
- Complying with industry regulations, safety standards, and ethical guidelines throughout all project phases.

3. Equity Profit Sharing (for PRO and PREMIUM Projects)
If your project is created under SHARE's PRO or PREMIUM membership tiers, you must agree to SHARE's equity profit-sharing model, which includes:
- Allocating back-end points to participants as part of their compensation.
- Distributing profits according to agreed-upon contracts once the project generates revenue.
- Committing to transparency in project earnings and ensuring all participants are kept informed of profit distributions.

4. Safety on Productions
SHARE values the safety and well-being of all individuals involved in productions. As a project creator, it is your responsibility to maintain a safe and professional environment for all collaborators. This includes:
- Never causing harm: Under no circumstances should crew members, cast, or any other participants be subjected to harm, injury, or unsafe working conditions on your project.
- Adhering to industry safety standards: Ensure all safety protocols and best practices are followed during production to prevent accidents or injuries.
- Reporting safety concerns: Any safety concerns must be addressed immediately, and serious violations must be reported to SHARE for review and possible intervention.
Failure to adhere to these safety guidelines may result in the suspension or termination of your project and account.

5. Content Guidelines
All content created, uploaded, or shared on SHARE must comply with our content standards. This includes prohibiting:
- Hate Speech: Any form of communication that promotes discrimination, harassment, or violence.
- Pornographic or Violent Content: Explicit sexual content, graphic violence, or content promoting illegal activities.
- Respect for Intellectual Property: Ensure that all content is original or properly licensed.
Violating these guidelines will result in content removal and possible account suspension.

6. Professional Conduct
You are expected to conduct yourself professionally and respectfully while using SHARE. Harassment, bullying, or abusive behavior will not be tolerated. Disputes must be addressed through SHARE’s dispute resolution process.

7. Intellectual Property & Copyright Protection
- User Ownership: SHARE does not claim ownership of your intellectual property.
- Liability Disclaimer: SHARE is not responsible for unauthorized use of your work.
- Recommended Protections: Copyright registration with the U.S. Library of Congress and script registration with the Writers Guild of America.
- SHARE enforces copyright protection and reserves the right to take action against IP theft.

8. Dispute Resolution
In case of disputes, SHARE offers a mediation process. If a resolution cannot be reached, SHARE will facilitate a fair process to help resolve conflicts.

9. Subscription Fees
Project creators using SHARE's PRO or PREMIUM tiers must pay subscription fees for access to advanced tools, resources, and profit-sharing models.

10. Revenue Distribution & Profit Sharing
- Transparency & Fairness: Users must adhere to agreed-upon terms for fair compensation.
- Revenue Distribution: Specific details will be outlined in individual agreements.
- Amendments & Modifications: SHARE may update profit-sharing terms, with notice to users.

11. Termination of Projects
SHARE reserves the right to terminate or suspend any project that violates these Terms and Conditions, including safety violations, unprofessional conduct, or failure to compensate collaborators.

12. Privacy Policy
We take your privacy seriously. Please review our Privacy Policy to understand how we collect, use, and protect your information.

13. Amendments
SHARE reserves the right to modify these Terms and Conditions at any time. Continued use of the platform signifies acceptance of any changes.
